Terms of Service

These Terms of Service ("Terms") govern access to and use of Relay Cloud, the Relay CLI, and related websites and services (collectively, the "Service") provided by Relay ("Relay", "we", "us").
By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
Accounts and access
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate registration information and keep it up to date. Notify us promptly at security@example.com if you suspect unauthorized access.
Acceptable use
You may not use the Service to:
- Violate applicable law or third-party rights
- Upload malicious code or attempt to disrupt Relay infrastructure
- Probe or scan systems without authorization
- Misrepresent your identity or affiliation
- Resell or sublicense the Service except as expressly permitted in an order form
We may suspend or terminate access for conduct that risks the Service, other customers, or our infrastructure.
Customer content
You retain ownership of code, configuration, logs, and other materials you submit to the Service ("Customer Content"). You grant Relay a limited license to host, process, transmit, and display Customer Content solely to provide and improve the Service.
You are responsible for securing repositories, secrets, and access tokens connected to your workspace.
Plans, billing, and taxes
Paid plans are billed according to the pricing shown at checkout or in an order form. Usage-based charges, such as build minutes or runner time, are measured by Relay meters. Fees are non-refundable except where required by law.
You are responsible for applicable taxes. We may change prices on reasonable notice; continued use after the effective date constitutes acceptance.
Service availability
We strive for high availability but do not guarantee uninterrupted operation. Maintenance windows, third-party outages, and force majeure events may affect the Service. Enterprise customers may receive SLA commitments in a separate agreement.
Confidentiality and security
Each party will protect the other party's confidential information using reasonable care. Relay implements security controls described on our Security page.
Disclaimer of warranties
The Service is provided "as is" and "as available" to the maximum extent permitted by law. Relay disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the maximum extent permitted by law, Relay will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Relay's total liability arising out of the Service will not exceed the fees paid by you to Relay in the twelve months before the event giving rise to the claim.
Indemnification
You will defend and indemnify Relay against claims arising from Customer Content or your use of the Service in violation of these Terms.
Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or non-payment. Upon termination, your right to access the Service ends, and we may delete Customer Content after any applicable retention period.
Governing law
These Terms are governed by the laws of the State of California, excluding conflict-of-law rules. Disputes will be resolved in the state or federal courts located in San Francisco County, California, unless otherwise required by applicable law.
Changes
We may modify these Terms by posting an updated version and updating the "Last updated" date. Material changes will be communicated through the Service or by email.
